**1. Provision of Services:**

Talk Boutique Inc. ("Company") hereby agrees to provide the member ("Member") with access to services, which include regular group coaching, expert-led training, and a library of pre-recorded masterclasses ("Services") as part of the membership at Thought Leader Academy ("Academy"). 

**2. Membership Term:**

The term of membership shall be twelve (12) months from the date of first billing following the conclusion of any promotional trial period, with monthly billing to occur on the anniversary of the first payment ("Membership Term"). In the event of prepayment in full at the time of signing, the Membership Term shall commence from the date of signing or after the completion of any promotional period, whichever is later. 

**3. Payment Obligations:**

Membership is contingent upon timely payment of fees. Access to the Services is subject to suspension or termination if the Member fails to pay any fees within the prescribed timeframes. 

**4. Conduct:**

The Company reserves the right to revoke membership without refund for conduct it deems inappropriate, including but not limited to harassment, unauthorized sharing of credentials or materials, or delinquency in payment. 

**5. No Obligation to Use Services:**

The Member acknowledges that the utilization of Services provided is at their discretion and is not mandatory. 

**6. Absence of Refunds for Non-Participation:**

The Member agrees that failure to use the Services does not entitle the Member to any refund or credit for missed Services. 

**7. Ownership and Copyright:**

All materials and content provided by the Academy are the exclusive property of the Company. Unauthorized distribution or sharing is strictly prohibited and punishable by law. 

**8. Non-Cancellation:**

The Member acknowledges that the Membership is non-cancellable during the Membership Term and that the full amount of the Membership fees for the Term is due to the Company. 

**9. Renewal and Fee Adjustment:**

The Company may offer renewal terms to the Member at its discretion. The Company reserves the right to increase fees upon renewal without prior notice. 

**10. Pricing Stability:**

Membership fees shall not be subject to increase during the initial Membership Term. Any fee adjustments upon renewal will be communicated to the Member. 

**11. Service Delivery:**

The Company shall not be liable for any failure to provide the Services, in whole or in part. The Company's liability, should any arise, shall be limited to the amount of the Membership fees paid by the Member.

**12. Indemnification:**

The Member shall indemnify and hold the Company harmless against any losses, damages, or claims arising from the Member's breach of these terms and conditions. 

**13. Dispute Resolution:**

Any disputes arising under these terms will be resolved through binding arbitration in accordance with the laws of Ontario, Canada. 

**14. Modifications to Terms:**

The Company reserves the right to modify these terms and conditions with immediate effect upon notice to the Member. 

**15. Governing Law:**

These terms and conditions shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. 

**16. Entire Agreement:**

These terms and conditions constitute the entire agreement between the Member and the Company with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements. By continuing with the membership, the Member is deemed to have accepted these terms and conditions.

Special Offer: During the Promotional Period from November 24, 2023, to November 28, 2023, Members who enroll in the Thought Leader Academy ("Academy") will receive the following benefits:
Complimentary Access: Members will receive free access to the Academy for November and December 2023, with the membership extending until December 31, 2024.

Promotional Pricing: A special promotional price of $1,967 USD will be charged, which is a discount from the regular price of $2,367 USD.

Inclusion of Services: Members will gain full access to all services, tools, videos, and coaching provided by the Academy, subject to the standard terms and conditions.

Idea & Messaging Group Workshop: Members will be granted access to one Idea & Messaging Group Workshop, with a duration of 90 minutes, conducted virtually by Andrea Sampson or a coach of similar expertise. If a Member is unable to attend the scheduled workshop, efforts will be made to place the Member in another workshop within 6 months. If this is not possible, the workshop offer will expire unused without cash value or compensation.

Private Laser Coaching Session: In addition to the workshop, Members are entitled to one Private Laser Coaching Session lasting 30 minutes, conducted virtually by Andrea Sampson or a comparable coach. This session must be scheduled in advance, and if the Member cannot attend, the Academy will endeavour to reschedule within a 6-month timeframe. Failure to reschedule within this period will result in the session expiring unused, without cash value or compensation. Missed sessions are considered completed.

Bonuses Conditional on Payment: Access to the workshop and coaching session bonuses is conditional upon the Member making all required payments in accordance with the terms of the Academy.

Automatic Renewal: Following the conclusion of the complimentary trial access period, which shall terminate on January 1st, 2024, Members will be automatically enrolled into the subsequent year's membership. Members will be charged the full annual membership fee, with a deduction equivalent to the promotional offer value previously granted.

Commitment to Membership Term: Enrollment in the complimentary trial access mandates a commitment to retain membership through the end of the calendar year 2024. The Member acknowledges and agrees that membership cannot be cancelled, and no refunds shall be issued for any payments made, once the Member has entered the complimentary trial access period, extending through December 31, 2024.

Acknowledgment of Terms: By accepting the terms of the promotional offer, the Member expressly acknowledges their understanding and acceptance of this Automatic Renewal and Non-Cancellation Clause, and agrees to comply with its terms.

This addendum enhances the special offer outlined in the existing terms and conditions and confers additional benefits during the promotional period. All other terms and conditions as previously stipulated remain unaffected and in force.
